Many of these projects claim to offer low risk to investors. Few projects making these claims are truly low risk.<\/p>\n<p>Regional centers are supposed to fulfill certain roles that help protect EB-5 investors. If a regional center is not independent, the likelihood of conflicts of interest rise, which means more risk for EB-5 investors. When choosing EB-5 projects, EB-5 investors avoid any option that has a conflict of interest between its regional center and developer.<\/p>\n<h3 id=\"h1\">An Overview of the EB-5 Regional Center Investment Model<\/h3>\n<p>Regional centers are entities authorized by United States Citizenship and Immigration Services (USCIS) to promote economic growth through foreign investment. Regional centers act as service agents between EB-5 projects and foreign investors seeking to immigrate to the United States. Investors favor regional center projects because they offer more flexibility in counting jobs, a key requirement of the EB-5 program. Regional centers are also intended to provide greater safety for investors through increased transparency and compliance.<\/p>\n<h4 id=\"h2\"><i>How Do Regional Center Investments Work?<\/i><\/h4>\n<p>In <a href=\"https:\/\/eb5affiliatenetwork.com\/how-to-structure-an-eb5-project\/\" target=\"_blank\" rel=\"noopener\">regional center EB-5 projects<\/a>, investors usually purchase equity in an investment fund affiliated with the regional center. This fund is referred to as a new commercial enterprise (NCE). The NCE then either loans the EB-5 funds to, or purchases equity in, a job-creating entity (JCE). The JCE is the development project that <a href=\"https:\/\/eb5affiliatenetwork.com\/eb-5-job-creation\/\" target=\"_blank\" rel=\"noopener\">creates EB-5-compliant jobs<\/a>.<\/p>\n<h4 id=\"h3\"><i>What Responsibilities Do Regional Centers Have?<\/i><\/h4>\n<p>The NCE\u2019s capital is supervised by a general partner, which also serves as the fund\u2019s manager. In many cases, the regional center sponsoring the project assumes this role.<\/p>\n<p>As fund managers, regional centers control <a href=\"https:\/\/eb5affiliatenetwork.com\/eb-5-capital-works\/\" target=\"_blank\" rel=\"noopener\">the flow of EB-5 funds<\/a> from investors to the project. Regional centers manage their NCE\u2019s loan or equity investments and issue updates to their investors.<\/p>\n<p>Regional center responsibilities include the following:<\/p>\n<ul>\n<li>ensuring compliance with the offering documents<\/li>\n<li>keeping careful records of the flow of capital through accounting and tax filings<\/li>\n<li>overseeing <a href=\"https:\/\/eb5affiliatenetwork.com\/trends-eb-5-escrow-agreements\/\" target=\"_blank\" rel=\"noopener\">the release of funds from escrow<\/a><\/li>\n<\/ul>\n<p>The quality of a project\u2019s regional center is crucial to EB-5 investor success.<\/p>\n<p>While EB-5 investors are interested in being repaid and earning interest on their investments, they typically care most about immigrating successfully. As managers of EB-5 funds, regional centers play a key role in investors\u2019 immigration success. Regional centers are supposed to ensure that EB-5 investments remain compliant with USCIS guidelines, particularly the <a href=\"https:\/\/eb5visainvestments.com\/2020\/04\/22\/what-the-eb-5-at-risk-requirement-means\/\" target=\"_blank\" rel=\"noopener\">\u201cat-risk\u201d requirement<\/a>. Fund managers may also help investors compile the evidence needed for <a href=\"https:\/\/www.uscis.gov\/i-829\" target=\"_blank\" rel=\"noopener\">Form I-829<\/a>, which is used to request permanent U.S. green cards. If a project\u2019s fund manager does not ensure or accurately record EB-5 compliance, the investors\u2019 immigrant applications will be at risk.<\/p>\n<p>As EB-5 fund managers, regional centers play a vital role in the financial and immigration outcomes of their investors. This means that the relationship between a regional center and its investors is tremendously important. A regional center has a substantial fiduciary duty to its EB-5 investors. Conflicts of interest between a regional center and a project developer may compromise the regional center\u2019s ability to serve as manager of the EB-5 funds.<\/p>\n<h3 id=\"h4\">Conflicts of Interest between EB-5 Regional Centers and Project Developers<\/h3>\n<p><img decoding=\"async\" src=\"https:\/\/eb5visainvestments.com\/wp-content\/uploads\/2022\/12\/Risk-of-Regional-Center-Conflicts-of-Interest-2.jpg\" \/><\/p>\n<p>In some cases, regional centers acting as managers of EB-5 funds are also owned or affiliated with project developers. The two entities may even share the same name.<\/p>\n<p>Such an arrangement creates an inherent conflict of interest since the developer would act as both the borrower and the lender.<\/p>\n<p>Projects in which the regional center is affiliated with the developer may claim to offer relatively high returns at a low risk. EB-5 investors should, however, be wary of such investment offerings. Higher returns mean higher levels of risk. The safest projects with regard to both financial and immigration risk are often those that offer the lowest returns.<\/p>\n<p>Investors must investigate whether conflicts of interest exist between the entities involved in an EB-5 offering, especially the regional center and the developer. Even though USCIS allows certain conflicts of interest, these must be <a href=\"https:\/\/eb5affiliatenetwork.com\/manage-eb-5-project-disclosures\/\" target=\"_blank\" rel=\"noopener\">disclosed in offering documents<\/a> and waived by the investors. EB-5 investors should <a href=\"https:\/\/eb5visainvestments.com\/eb-5-immigration-attorneys\/\" target=\"_blank\" rel=\"noopener\">retain their own legal counsel<\/a> to review any project and to evaluate the risks involved prior to investing.<\/p>\n<p>EB-5 immigration relies on the success of an investment creating 10 new jobs and meeting other requirements. An investor\u2019s immigration success depends on the financial success of the project. As a result, EB-5 investors should consider whether a project can withstand a possible economic downturn or recession. Investors should look for conflicts of interest that prioritize investors below the developer. Such conflicts may compromise their immigrant petitions, especially if the market cools off.<\/p>\n<p>Conflicts of interest between regional centers and developers can be serious liabilities for investors if the project goes awry. If a regional center is owned by or beholden to the project\u2019s developer, it will likely favor its own interests rather than the interest of its EB-5 investors.<\/p>\n<p>Consider the following example. A developer is accepting EB-5 investments to build an apartment building that is also partially funded by a senior bank loan. The developer projects each unit will earn $3,000 per month in rent. Around the time the building is complete, however, the local economy enters an unforeseen economic downturn. As a result, the actual monthly rent per unit is only $2,000, not the expected $3,000. This loss of income leaves the developer unable to pay back the senior bank loan.<\/p>\n<p>The apartment project\u2019s regional center is also the NCE\u2019s fund manager and an affiliate of the developer. The fund manager has a fiduciary responsibility to its EB-5 investors. As an affiliate of the developer, however, it has a conflict of interests. The developer will want to take actions to safeguard its own financial interests. In a case like that, the EB-5 investors may not receive interest payments or a timely return of their investment capital.<\/p>\n<p>For any investor, a situation like the one presented above is undesirable. For EB-5 investors, however, a project\u2019s financial failure may also affect EB-5 job creation. Each EB-5 investor must create at least 10 new full-time U.S. jobs through his or her investment. Failure to do so will disqualify an investor from receiving a permanent U.S. green card.<\/p>\n<p>By contrast, when regional centers acting as fund managers remain independent of project developers, they will not be subject to such conflicts. Independent regional centers are much more likely to serve their EB-5 investors\u2019 interests. In the example above, an independent regional center may force the developer to sell other assets to repay EB-5 investors in a timely manner. A regional center can also negotiate on behalf of its EB-5 investors to ensure sufficient job creation takes place.<\/p>\n<h3 id=\"h5\">New Transparency Requirements for Regional Centers under the EB-5 Reform and Integrity Act of 2022<\/h3>\n<p><img decoding=\"async\" src=\"https:\/\/eb5visainvestments.com\/wp-content\/uploads\/2022\/12\/Risk-of-Regional-Center-Conflicts-of-Interest-4.jpg\" \/><\/p>\n<p>On March 15, 2022, <a href=\"https:\/\/eb5visainvestments.com\/2022\/03\/14\/examining-the-upcoming-eb-5-reform-bill-benefits-for-investors\/\" target=\"_blank\" rel=\"noopener\">the EB-5 Reform and Integrity Act<\/a> (RIA) of 2022 introduced several new regulations to ensure that regional centers managed their investors\u2019 EB-5 funds transparently. The RIA requires regional centers to prepare an annual report of all their EB-5 capital across each NCE. USCIS will also conduct more frequent audits of regional centers.<\/p>\n<p>USCIS can now fine non-compliant regional centers with up to 10% of raised capital. Noncompliant regional centers may even face termination. The measures set forth in the RIA make regional center qualifications an even more essential consideration for EB-5 investors. Regional centers acting as fund managers that have conflicts of interest increase the risk of noncompliance. EB-5 investors should never invest in a project if its documents do not disclose obvious conflicts of interest.<\/p>\n<h3 id=\"h6\">Finding Low-Risk EB-5 Projects Requires Careful Evaluation<\/h3>\n<p><img decoding=\"async\" src=\"https:\/\/eb5visainvestments.com\/wp-content\/uploads\/2022\/12\/Risk-of-Regional-Center-Conflicts-of-Interest-3.jpg\" \/><\/p>\n<p>Because of the COVID-19 pandemic and the temporary lapse of the EB-5 regional center program, regional center investment demand has been pent up. Following the reauthorization of the regional center program, foreign nationals are eager to invest through the EB-5 program. Regional center projects are more attractive because of more <a href=\"https:\/\/eb5affiliatenetwork.com\/calculating-eb-5-job-creation\/\" target=\"_blank\" rel=\"noopener\">lenient job creation criteria<\/a> and the safety that comes with a regional center\u2019s track record of success.<\/p>\n<p>EB-5 investors should carefully read all disclosures in an EB-5 project\u2019s documents. Investors should pay particular attention to the relationships between entities. Any financial ties, joint ownership, or affiliation between the project\u2019s regional center and developer create an inherent conflict of interest. EB-5 investors should avoid projects with such conflicts.<\/p>\n<p>That said, long-term working relationships between entities can be positive. Regional centers and developers that frequently work together to produce successful projects may mean less risk to EB-5 investors. In situations like this, the key is that the regional center is truly independent from the developer.<\/p>\n<p>For foreign nationals seeking EB-5 regional center investments, the key is to find projects with independent regional centers. Selecting a project with a third-party, independent regional center reduces the likelihood of conflicts of interest between the regional center and other entities.
