Issuers that meet the exemption under Reg S do not have to register securities offered overseas.<\/p>\n<p>However, Reg S does not provide protection from <a href=\"https:\/\/www.investopedia.com\/terms\/b\/blueskylaws.asp\" target=\"_blank\" rel=\"noopener\">blue sky laws<\/a> (state securities laws that regulate the offering and sales of securities to prevent fraud).<\/p>\n<p>Naturally, these laws must be complied with to avoid legal issues.
